AMUG Conference

The Additive Manufacturing Users Group (“AMUG”) organizes the AMUG Education and Training Conference (“Conference”).

The 2024 AMUG Conference is scheduled for March 10 – 14, 2024, at the Hilton Chicago in Chicago, Illinois.

Introduction

These Terms and Conditions (“Terms”) shall govern the Conference regardless of the format, e.g., in person or online/virtual, in whole or part If the format of the Conference is modified after the date of your registration for the Conference, AMUG will notify you of the modification and provide you with information as to whether a full or partial refund will be offered to Conference participants. AMUG shall not be financially responsible for personal travel fees (flight, hotel bookings, etc.) if the format of the Conference is modified.

The Conference is organized by AMUG and the AMUG Board of Directors, which reserves the right, in its sole discretion, to limit or deny access to any entity or individual. To be eligible to participate:

  • You must be 21 years old or older, AND
  • Conference attendees/attendee company must have direct ownership of industrial additive manufacturing equipment; using it for professional applications, and sponsors and exhibitors should have a direct relation to the additive manufacturing industry. AMUG reserves the right to decline or cancel participation of sponsors and exhibitors should they not meet the needs of the AMUG community.

AMUG reserves the right, at its sole discretion, to change the site, hours or dates of the Conference. AMUG will attempt to notify attendees, sponsors, and exhibitors of any such changes as far in advance as possible.

This document sets out the Terms between AMUG and registrant for the AMUG Conference as an attendee, sponsor, or exhibitor. By registering for the AMUG Conference, whether submitted by you or your proxy, you are agreeing to comply with these Terms.

REGISTRATION REQUIREMENTS

Attendee Registration
To register as an attendee for the AMUG Conference, you/your company must have direct ownership of commercially available additive manufacturing equipment, using it for professional applications.

Sponsor and Exhibitor Registration
Sponsors and exhibitors should have a direct relation to the additive manufacturing industry. AMUG reserves the right to decline or cancel participation of sponsors and exhibitors should they not meet the needs of the AMUG community.

Speaker Registration

AMUG is unable to compensate presenters and appreciates their participation and support. AMUG and sponsor speakers are required to register as an attendee of the AMUG Conference at the applicable registration price.

Countries that require VISA

If you are a non-U.S. citizen or non-permanent U.S. resident registering for the Conference, please consult your country’s laws and regulations regarding attendance at a U.S. Conference. Citizens from countries on the U.S. Office of Foreign Assets Control (OFAC) embargoed may be restricted from attending or participating in the Conference. ATTENDEE – CONFERENCE REGISTRATION FEES AND DETAILS

Conference registration does not include travel, transportation, or lodging. Attendees, sponsors, and exhibitors are responsible for all travel, transportation, and hotel accommodations. AMUG is unable to make hotel reservations on behalf of attendees, sponsors, or exhibitors.

AMUG does not offer any discount for government agencies. All interested parties must register as an attendee at the current registration fee. AMUG does not have a CAGE code and does not supply any of the numbers required for government employees and contractors.  AMUG accepts credit cards, wire transfers, or checks. STUDENT OR EDUCATIONAL DISCOUNT RATES

AMUG does not offer discounts for students, teachers, or professors.

Students are required to pay the Conference attendee price and show that they operate AM equipment at their university or place of work. The Guy E. GROUP DISCOUNT PROGRAMS

AMUG does not offer group discounts.

SOCIAL FUNDRAISING OR SOLICITATION OF CONFERENCE REGISTRATION FEE

AMUG does not allow social fundraising or soliciting funds for Conference registration within social networks, groups, forums, or platforms associated with AMUG, without prior written approval from the AMUG Board of Directors.  Violation of this policy may result in future restrictions or being banned from attending future AMUG Conferences.

ONE-DAY PASSES

One-day passes and AMUGexpo-only passes are not available for purchase. The AMUG Conference is set up as a full week of technical sessions and presentations for the owners and operators of AM technology, and the AMUGexpo is a part of the Conference. The AMUGexpo is a three-night event that is designed to enhance the users’ experiences while attending the AMUG Conference.

REGISTRATION REQUIREMENTS

Submission of a registration is regarded as affirmation of your acceptance of Terms.

HOW WE USE YOUR INFORMATION

AMUG is committed to data privacy and protecting your personal information. By submitting your email address during the Conference registration process, you agree that AMUG and its authorized Conference vendors may send you Conference-related information. A valid email is required for all registrations, and multiple registrations cannot use the same email address.

AMUG uses the personal data you provide in this registration for administering your participation in the Conference. This may include information about the Conference’s content, Conference logistics, payment, updates, and additional information related to the Conference.

AMUG may disclose your personal data to third-party service providers engaged by AMUG to assist in the conduct of the Conference (e.g., official general service contractor, mobile app vendor). Information you provide when registering for or participating in an event or activity managed or co-sponsored by parties other than or in addition to AMUG may be shared with those parties as a result of your registration, and the treatment of such information is further subject to the privacy policies of those parties. Except as described herein, AMUG will not disclose your personal data to any other third party without your consent except where required to do so by law.

AMUG does not sell or provide the attendee list for resale purposes. Any company or organization that offers an AMUG Conference attendee list is not authorized by AMUG, and AMUG recommends not doing business with the list providers.

NONDISCRIMINATION POLICY

AMUG prohibits discrimination, harassment, and bullying against any person for any reason—for example, because of age, ancestry, color, disability or handicap, national origin, race, religion, gender, sexual or affectional orientation, gender identity, appearance, matriculation, political affiliation, marital status, veteran status, or any other characteristic protected by law.

CONFERENCE CONDUCT AND SAFETY

AMUG is committed to providing a safe, productive, and welcoming environment to all participants, including staff and vendors.  AMUG has no tolerance for discrimination, harassment, or bullying in any form at AMUG-related events and activities.  Participants are expected to adhere to these principles and respect the rights of others.

What to do if you witness or are subject to unacceptable behavior: Participants should report any behavior inconsistent with these principles to one of the following onsite personnel: Thomas Sorovetz, Director, Event and Hospitality, Shannon Van Deren, President, or any AMUG Board of Directors members. The Director, Event and Hospitality is the primary coordinator to help participants contact venue security or local law enforcement, provide escorts, or otherwise assist those experiencing harassment to feel safe for the duration of the Conference. We value your attendance.

AMUG CONFERENCE REGISTRATION TERMS AND CONDITIONS

The following Terms and Conditions set out the rules applicable to the AMUG Conference. All individuals who participate in the Conference including, but not limited to, attendees, speakers, sponsors, and exhibitors, (collectively “Participants”) shall be bound by these Terms upon registering for the Conference and are advised to read and understand these Terms carefully before registering.

The Conference is a global event open to owners and operators of commercially available additive manufacturing equipment. AMUG is not open to the public. AMUG adheres to the United States of America Trade Restrictions, http://www.treasury.gov/resource-center/sanctions/Programs/Pages/Programs.aspx.

Registration for individuals and companies from countries classified as sanctioned will be declined.

 CONFERENCE LANGUAGE

Conference language is English.

AGE LIMITATION

Attendees must be 21 years of age to attend the AMUG Conference and all related events including the Welcome Reception, AMUGexpo and the Special Event and Dinner. Requests for any exception to this Term must be made in writing to the AMUG Board at registration@amug.com.

ADMITTANCE

In its sole discretion, without refund, AMUG reserves the right to refuse admittance to or expel from the Conference anyone that violates any of these Terms or engages in conduct that the AMUG Board determines is a manner that could be disruptive to the Conference or any other attendee or is contrary to the best interests of AMUG.

PHOTO ID

A government, country/state, or company-issued Photo ID is required to collect AMUG Conference credentials/badges.

VISA REQUIREMENTS / INVITATION LETTER

It is your sole responsibility to take care of visa requirements. If you require an entry visa, you must allow sufficient time for the visa application procedure. Your registration details might be shared with the immigration authorities to assist in the immigration process. However, AMUG and its Conference representatives will not contact embassies and consulates on your behalf.

To receive an invitation letter for the AMUG Conference, you must submit in writing a request for an invitation letter.  Include the following in your email:

CREDENTIAL/BADGE CONTROL

The Conference is not open to the public. Name badges are required for admission. Anyone without a proper badge will be escorted from the Conference. AMUG Conference-issued credentials/badges are the sole property of the AMUG Conference Organizer and must be surrendered upon demand to AMUG Conference and/or AMUG Conference Organizer representatives. AMUG credentials must be prominently displayed while at the AMUG Conference or designated off-site activities. False certification of an individual as an attendee or as an exhibitor’s representative, misuse of an exhibitor’s or sponsor’s badge, or any other method or device used to assist unauthorized personnel to gain admittance to the Conference, exhibit floor, or AMUG activity will be just cause for expelling the Participant and its representative(s) from the exhibit floor and/or banning them from future entrance into the Conference. The exhibitor, its employees and agents, and anyone claiming to be in the exposition area through the exhibitor waives any rights or claims for damages arising out of the enforcement of this rule.

AMUG credentials and badges are to be collected by attending individuals on-site at the AMUG Conference and require a Photo ID for collection. AMUG does not allow for badge collection on behalf of others and will not be provided via electronic format or prior to Conference.

SUBSTITUTION POLICY

AMUG does not allow for the “swapping” of badges. Substitutions of individuals registered for the Conference, including those made on-site, are allowed. Multiple people may not share the same badge or substitute badges during the Conference.  Each participant must purchase a full Conference attendee pass to participate in the AMUG Conference. You may process your substitution either online or on-site:

  • Online substitutions may be made through the AMUG registration process, provided that the substituted individual is an employee of the same company as the original Conference attendee registrant. For assistance, email registration@amug.com.
  • On-site substitutions are allowed with the written permission of the original attendee registrant and provided that the substituted individual is an employee of the same company as the original Conference Attendee registrant. On-site, ask for AMUG Secretary or AMUG Treasurer.
  • Employment changes. Attendee registration is the ownership of the company or individual that pays for the Conference pass. If an individual uses a company credit card or is reimbursed by the company to purchase a Conference pass, that Conference pass is owned by the company. Individuals that change company employment prior to utilizing their attendee pass may transfer their registration ONLY IF the company that purchased the attendee pass authorizes the transfer of the paid attendee pass to that individual by sending an email to treasurer@amug.com authorizing the transfer. Transfers will not be made without an official email from the individual’s original employment company. Should the company authorize the transfer, the company understands they will not be reimbursed or be granted an additional attendee pass to replace the transferred pass.
PHOTOGRAPHY, AUDIO, AND VIDEO RECORDING

To comply with global data privacy laws, AMUG imposes certain restrictions on the use of multimedia captured or created at its events (e.g., photography, video, audio,  and all future mediums).  Participants are permitted to use hand-held cameras and/or smartphones to take photographs and capture digital images for personal, non-commercial use, provided the photography is not disruptive and the speaker or exhibitor has provided approval. Multimedia assets may not be published, sold, reproduced, transmitted, distributed or otherwise commercially exploited in any manner whatsoever.  AMUG Media Sponsors, as specified in their AMUG Media Sponsor Agreements, are granted limited exceptions to the aforementioned restrictions.  AMUG Media Sponsors may utilize multimedia assets they capture or create at the event for editorial and promotional purposes related directly to AMUG, its mission, and the event coverage, in accordance with the terms outlined in their AMUG Media Agreement.

AMUG may hire professional service providers (photo/video/streaming/audio) to document and display the Conference experience.  AMUG may also use social media to: post real-time photos and videos to its social media feeds and display select submissions from those feeds on monitors throughout the event venue. Participants are encouraged to capture their event experiences and post their own social content from the Conference (text, photos, audio, video, streaming), provided it does not infringe upon the rights of any Participant, third party, or AMUG.  Such infringement would include, but is not limited to, defamation or infringement of intellectual property rights.  In the event an attendee requires a release or permission to protect the rights of a third party, obtaining such a release or permission shall be the sole responsibility of the attendee.

By attending the Conference, you acknowledge and agree as follows: You may appear on camera and consent to the reproduction and use of your photograph, image, voice, or likeness by AMUG and its representatives for any and all advertising, trade, or art purposes and in any and all publications without limitation or reservation.  AMUG may edit and use footage it captures at the Conference for limited purposes of supporting this and future AMUG Conference; and due to the prevalence of mobile recording devices in today’s world, AMUG disclaims all liability for the capture of your image in any multimedia format by other attendees at the Conference.

LIVE STREAMING, CLUBHOUSE SESSIONS, CROWDSOURCING

AMUG does not allow for Live Streaming, Clubhouse Sessions or Crowdsourcing without prior written approval from AMUG. As a closed Conference, all sessions and activities provided at the Conference are designed for in-person networking sessions and activities. Attendee, exhibitor, or sponsor wishing to hold a program that includes live streaming, Clubhouse, or Crowdsourcing must receive prior written approval by the AMUG Board of Directors. All requests must be submitted to Director, Education and Conference at dconfed@amug.com prior to the AMUG Conference. Individuals or companies that do not receive prior authorization may be subject to future restrictions or banned from future AMUG Conferences.

LEAD RETRIEVAL BADGE SCANNING

You may be asked to scan your badge either at exhibit booths and/or session rooms, but please note scanning of your badge is optional.  When your badge is scanned by exhibitors and/or sponsors during AMUG Conference, you are opting in to receiving communications from that entity. You will be subject to their communications and privacy policy and must opt out with them directly.

DRONES

The use of drones/unmanned aerial vehicles (UAVs) is strictly prohibited at all times throughout the entire venue and the adjacent areas outside of the venue. UAVs are devices that are used or intended to be used for flight in the air with no onboard pilot (either controlled manually or through an autopilot using a data link to connect the pilot to the UAV).

RESPONSIBLE DRINKING POLICY

All AMUG-hosted receptions offer non-alcoholic beer and soft drinks in addition to alcoholic beverages. If you choose to consume alcohol, please drink responsibly. No alcohol will be served to anyone under the age of 21. Participants that appear to be under 30 will be asked for identification that offers proof of age. You understand that you will be asked to leave the Conference site/AMUG’s leased venue(s) while under the influence of alcohol and non-prescribed drugs if your behavior negatively impacts AMUG and its mission. Anyone requested to stop unacceptable behavior is expected to comply immediately. AMUG management or security may take any action deemed necessary and appropriate, including removal from the event (and any remaining portions thereof) without warning and without refund of registration fee. Venue management and/or AMUG management reserves the right to suspend or completely discontinue the sale or service of alcoholic beverages at the Conference and related activities.

REQUEST FOR AN ACCOMMODATION

AMUG complies with the Americans with Disabilities Act and strives to ensure that no individual with a disability is deprived of the opportunity to participate in this program solely by reason of that disability. Through its agents, AMUG will provide reasonable accommodation for a Participant with a disability who requests accommodation. Requests can be made by sending a written request 21 days in advance of the Conference to eventmanager@amug.com.

PRIVACY STATEMENT

COPYRIGHT

The presentations, handouts, and other related materials that are part of the AMUG Conference are the copyrighted intellectual property of the owner and no use of such materials may be used in any way without the prior written consent of the copyright owner.

DISCLAIMER

The views expressed by any Conference Participant are not necessarily those of AMUG. As such, AMUG shall not be held liable for any claims relating to such views. All Conference Participants are solely responsible for the content of any and all individual or corporation presentations, marketing collateral, advertising, and online Web content.

SERVICE AS AN INVITED SPEAKER

If you agree to speak at AMUG Conference, AMUG may share your contact and biographical information with Conference attendees. Sometimes AMUG may also request a photograph. AMUG can post on the respective Conference website information such as your name, employer, physical work address, work email address, as well as a link to your company website and/or professional LinkedIn page available to the public. This is so that visitors to the Conference website, including Conference attendees and speakers, can contact you with questions and requests for more information and to provide feedback if needed. Additionally, speakers may be asked to complete either a release agreement or copyright form prior to their presentation.

AMUG will never share your payment information with other Conference attendees.

COMPLIANCE WITH LAWS

Attendees, sponsors, and exhibitors shall bear responsibility for compliance with any and all local, city, state, and federal safety, fire, and health laws, ordinances, and regulations.  Sponsors and exhibitors shall bear responsibility for compliance with all policies of the AMUG Conference facility regarding the installation, dismantlement, and operation of the exhibit. Exhibitors selling items from their booth should obtain any necessary city and/or state permits.

SOLICITING IN THE AMUGEXPO

Suitcasing or outboarding is prohibited at AMUG Conference.  AMUG reserves the right to escort any individual from AMUG Conference who is reported to be soliciting in the exposition and who is not an AMUG Conference sponsor or exhibitor. AMUG encourages attendees to support the Conference sponsors and exhibitors who, in turn, are supporting the industry. AMUG also encourages you not to listen to a sales pitch from those that are not sponsors or exhibitors.

If circumstance or policies in your organization change, and you can no longer attend the AMUG Conference, you can cancel your attendee registration by notifying AMUG.

 

Attendee Cancellation more than 4 weeks prior to the first day of the Conference: Full refund less cancellation fee of 10% of the registration fee.

 

Attendee Cancellation 4 weeks or less prior to Conference: No refund.

SPEAKERS AMUG and sponsor speakers are required to register as an attendee of the AMUG Conference at the applicable registration price.  AMUG is unable to compensate presenters and appreciates their participation and support.
NO DEFERMENTS Attendee registration is for the current Conference year and may not be applied to a future Conference.
ATTENDEE CANCELLATION PROCESS Should you need to cancel your participation in the AMUG Conference and AMUGexpo please contact AMUG immediately: registration@amug.com.

In lieu of cancellation, you can make a substitution of another individual prior to the start of the Conference.  Please see the substitution policy for details.

If you have registered and paid for the Conference but do not attend the Conference, the registration fee will not be refunded. Registration fees are for the current Conference year and may not be applied to future Conferences.

Please remember that canceling your registration does not automatically cancel your hotel and travel arrangements. Individuals are responsible for canceling their own hotel and travel reservations

Please remember that canceling your sponsor registration does not automatically cancel your hotel and travel arrangements, nor does it cancel your Conference attendee or expo staff registration. Individuals are responsible for canceling their own hotel and travel reservations.

SUB-LEASING

SUB-LEASING – EXHIBITOR/SPONSORSHIP SHARING: No sponsor/exhibitor shall reassign, sublet, or share the whole or any part of the exhibitor or sponsorship space allotted to the contracting firm.

SPONSOR AND EXHIBITOR CONDUCT

Sponsor/exhibitor shall conduct its participation at the AMUG Conference in a professional manner so as not to be objectionable to AMUG, other sponsors or exhibitors, or the attendees. AMUG reserves the right to restrict or prohibit exhibits or content which, because of noise, method of operation, content, or any other reason, are objectionable or otherwise detract from or are out of keeping with the character of the AMUG Conference as a whole. AMUG may prohibit installation, request removal, or request discontinuance of any exhibit or promotion that, if continued, deviates substantially from the design and description approved in advance by AMUG. AMUG and the venue reserve the right to close, remove, or require changes in any exhibit or to remove any of sponsor’s/exhibitor’s personnel, agents, representatives, independent contractors, invitees, or guests who are deemed detrimental to AMUG, the AMUG Conference, other sponsors, the venue, or the attendees.

The distribution of samples, souvenirs, and publications. may be conducted by the exhibitor/sponsor. The exhibitor/sponsor shall conduct and operate its participation (if a physical element exists) so as not to annoy, endanger or interfere with the rights of other Participants. Any practice resulting in complaints from any other Participants, who in the opinion of AMUG interferes with the rights of others or exposes them to annoyance or danger, may be prohibited by AMUG.

USE OF CONFERENCE/BOOTH SPACE

Sponsor/exhibitor shall not assign, lend, or share sponsor’s/exhibitor’s Conference space. Sponsor/exhibitor shall not promote any other person or entity, or any products other than sponsor’s/exhibitor’s, without AMUG’s prior written consent. “Promote” includes signage, products, demos, presentations, giveaways, and any other marketing pieces. Sponsor/exhibitor must confine all demonstrations, promotional activities, and representatives to sponsor’s/exhibitor’s predesignated space. No signs, literature, collateral, equipment, furniture, or promotional items may be placed, distributed, or posted outside of the sponsor’s/exhibitor’s designated space without prior written approval from AMUG. No animals are allowed in the booth space except for authorized service animals.  Additional information can be found in the AMUG Sponsor and Exhibitor Booth Rules & Regulations.

NO ENDORSEMENT

Sponsors, exhibitors, third-party vendors, and participating organizations at the Conference will not state or imply that its products or services are endorsed by AMUG and no approval by AMUG or any of its staff or volunteers of any sponsor’s content or participation in the AMUG Conference will be deemed an endorsement.

SOCIAL FUNCTIONS

Sponsors/exhibitors may not host or facilitate group social functions during any time there is a scheduled AMUG activity. Sponsors/exhibitors must obtain prior approval of AMUG Conference management for any intended group functions.

CANCELLATION OR POSTPONEMENT OF CONFERENCE AND OR INITIATIVE OUTLINED IN SPONSORSHIP CONTRACT

In the event that the premises in which the Conference or outlined sponsorship initiative is or is to be conducted shall become, in the sole discretion of AMUG, unfit for occupancy, or in the Conference the holding of the Conference and or sponsorship initiative or the performance of AMUG under the contract (of which these Terms are a part) are substantially or materially inferred with by virtue of any cause or causes not reasonably within the control of AMUG, said contract and/or Conference or initiative (or any part thereof) may be terminated by AMUG without liability.

AMUG shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue of cause or causes not reasonably within the control of AMUG. If AMUG terminates said contract (or any part thereof) as aforesaid, then AMUG may retain such part of a sponsor/exhibitor fee as shall be required to recompense it for expenses incurred (including an assessed value of all AMUG promotion through its website, social media, and advertising) up to the time such contingency shall have occurred, and there shall be no further liability on the part of either party. For purposes hereof, the phrase “cause or causes not reasonably within the control of AMUG” shall include, but shall not be limited to, fire; casualty; flood; epidemic; earthquake; explosion or accident; blockade embargo; inclement weather; government restraints; restraints or orders of civil defense or military authorities; acts of public enemy; riot or civil disturbance; strike; lockout, boycott or other labor disturbance; inability to secure sufficient labor; technical or other personnel failure; impairment or lack of adequate transportation facilities; inability to obtain, condemnation, requisition or commandeering of necessary supplies or equipment; local, state or federal laws, ordinances, rules orders, decrees, or regulations whether legislative, executive or judicial, and whether constitutional or unconstitutional; or Act of God.

ADDITIONAL TERMS FOR ATTENDEES, SPONSORS AND EXHIBITORS

RELEASE AND WAIVER

You hereby release and forever discharge and hold harmless AMUG, its successors, and assigns (“Released Parties”) from any and all liability, claims, and demands of whatever kind or nature, either in law or in equity, which arise or may hereafter arise from the sAMUG (“Release”). This Release discharges AMUG from any liability or claim against AMUG, whether caused by the negligence of AMUG or its officers, directors, employees, agents, or otherwise.

You understand and acknowledge that by this Release you knowingly assume any risk of injury, harm and loss associated with the activities. You also understand that the Released Parties do not assume any responsibility for or obligation to provide financial assistance or other assistance, including injury, illness, death, or property damage.

MEDICAL TREATMENT/INSURANCE

You hereby release and forever discharge the Released Parties from any claim or action whatsoever which arises or may hereafter arise on account of any first aid, treatment, or service rendered in connection with your activities with any of the Released Parties. You understand that, except as otherwise agreed to by the Released Parties in writing, the Released Parties are under no obligation to provide, carry or maintain health, medical, travel, disability, or other insurance coverage for you. You are expected and encouraged to obtain your own health, medical, travel, disability, or other insurance coverage.

STATEMENT OF LIABILITY

Except where prohibited by applicable law, AMUG does not bear any legal liability or responsibility for the safety of any Conference Participant. AMUG disclaims any liability for the acts of any outside entities related to this Conference. AMUG reserves the right to cancel the Conference without liability. AMUG does not accept responsibility for the behavior of any attendee or outside entity during the Conference.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless AMUG, its officers, directors, and agents (collectively “AMUG Indemnitees”) against all claims arising out of actions or omissions of attendee at or in connection with this Conference. To the maximum extent permitted by law, you (for yourself, your heirs, dependents, personal representatives, assigns, and anyone else who might make a claim on your behalf or as a result of your death or injury) hereby release AMUG and its respective directors, officers, employees, contractors, representatives, agents, successors, and assigns from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs, and expenses (including without limitation reasonable attorneys’ fees and costs) that you may have now or in the future associated in any way with the Conference. The terms of this provision shall survive the termination or expiration of these Terms.

Except where prohibited by applicable law, AMUG disclaims any and all direct, special, consequential, incidental, punitive, or other indirect damages of any kind, whether alleged as a breach of contract or tortious conduct, including negligence, or based on any other cause of action.

GENERAL PROVISIONS

Each party covenants, warrants, and represents that it shall comply with all laws and regulations applicable to these Terms and the performance of the parties’ obligations hereunder, and that it shall exercise due care and act in good faith at all times in the performance of its obligations hereunder. The provisions of this Section shall survive any termination or expiration of these Terms.

Either party’s waiver of, or failure to exercise, any right provided for in these Terms shall not be deemed a waiver of any further or future right under these Terms.

The headings of the various paragraphs hereof are intended solely for the convenience of reference and are not intended for any purpose whatsoever to explain, modify, or place any construction upon any of the provisions of these Terms.

These Terms may not be assigned, or the rights granted hereunder transferred or sub-licensed, by either party without the express prior written consent of the other party.

These Terms shall be binding upon and inure to the benefit of each party, its subsidiaries, affiliates, related entities, partners, shareholders, agents, officers, directors, employees, heirs, successors, and assigns, without regard to whether it is expressly acknowledged in any instrument of succession or assignment.

These Terms may be executed in one (1) or more counterparts, each of which shall be deemed an original and all of which taken together shall constitute one (1) and the same instrument.

These Terms (i) constitute the entire agreement between the parties hereto with respect to the subject matter hereof; and (ii) supersede and replace all prior agreements, oral and written, between the parties relating to the subject matter hereof.

All provisions of these Terms are severable.  If any provision or portion hereof is determined to be unenforceable in arbitration or by a court of competent jurisdiction, then the remaining portion of the Agreement shall remain in full effect.

AMUG Conference management reserves the right to interpret, change, or modify these terms and conditions as deemed appropriate to improve the Conference.

Any violations of Terms may impact an individual’s ability to participate in or to exhibit in future AMUG Conferences.
